The company's board of directors and all directors guarantee that the contents of this announcement do not contain any false records, misleading statements or major omissions, and assume legal responsibility for the authenticity, accuracy and completeness of its contents in accordance with the law.

The notice of the 30th meeting of the second board of directors of Shanghai Mengke Pharmaceutical Co., Ltd. (hereinafter referred to as the "Company") was issued on September 28, 2026, and was held in the company's conference room on October 8, 2026 through a combination of on-site voting and communication voting (hereinafter referred to as the "this meeting"). There were 7 directors who should be present at this meeting, and 7 directors were actually present. This meeting was chaired by Chairman ZHENGYU YUAN (Yuan Zhengyu). The convening of this meeting complied with the provisions of the Company Law of the People's Republic of China, the Articles of Association of Shanghai Mengke Pharmaceutical Co., Ltd. and other relevant laws and regulations, and was legal and valid.

After full deliberation and voting by the directors present at the meeting, the meeting resolved as follows:

1. Consideration and adoption of the "Proposal on Signing a License Agreement with ClearideBio"

After review, it is agreed that (1) the Company and ClearideBio Therapeutics AG (hereinafter referred to as the "counterparty" or "ClearideBio") signs relevant agreements; (2) approves the global authorization scope, economic arrangements, division of development responsibilities and intellectual property arrangements involved in the transaction; (3) authorizes management and its designated personnel to complete the finalization, signing, delivery and necessary Important registration, payment and custody matters (authorization only applies to non-substantive, technical or textual modifications, and shall not reduce core economic conditions or cause substantial adverse changes to the company's major rights and obligations); (4) Require management to establish post-signing project governance, contract obligation ledgers, payment audits and regular reporting mechanisms.

For details, please refer to the "Announcement of Shanghai Mengke Pharmaceutical Co., Ltd. on Signing a License Agreement with ClearideBio" (announcement number: 2026-044) disclosed by the company on the website of the Shanghai Stock Exchange (www.sse.com.cn) on the same day.

Voting results: 6 votes in favor, 0 votes against, 1 abstention; Reasons for director Ms. Zhao Yachao to abstain: (1) The directors believe that the company still does not have sufficient understanding of the counterparty's operating conditions and business development and other relevant information. (2) The other party's company and related projects are still in the early stages and are uncertain. It is recommended to further improve the terms of the agreement and strengthen the protection of the company's long-term interests. (3) The director believes that the communication between the management team and the board of directors is insufficient. He believes that there is the possibility of outsourcing the responsibility of realizing R&D assets to others through a superficial "authorized transaction", and draws the attention of the company's board of directors to the risk of the management team promoting the transaction in order to achieve performance indicators, thus damaging the company's long-term interests. In summary, director Ms. Zhao Yachao supports the realization of the company's pipeline, but believes that this transaction should be promoted on the basis of fully understanding the counterparty, assessing risks and improving the terms, rather than hastily voting due to time pressure, so she abstained from voting.

This transaction is a normal licensing cooperation arrangement in the innovative drug industry and is in line with business logic and the company's operating needs. The company's management will continue to pay attention to the execution of the transaction and report significant progress to the board of directors in a timely manner. At the same time, it will strictly fulfill its information disclosure obligations in accordance with the relevant regulatory rules for information disclosure.

Announcement is hereby made.
