TAKEDA ACHIEVED STRATEGIC AI-POWERED DRUG DISCOVERY

COLLABORATION WORTH UP TO USD600 MILLION

This announcement is made by InSilico Medicine Cayman TopCo (the "Company", together with its subsidiaries, the "Group" or "Insilico Medicine") on a voluntary basis to inform the shareholders and potential investors of the Company about the latest business updates of the Group.

The board of directors of the Company (the "Board") is pleased to announce that, Insilico Medicine and Takeda (the "Takeda"), have entered into a strategic collaboration agreement to use Insilico Medicine's proprietary end-to-end platform, Pharma.AI, to advance drug candidates across Takeda's therapeutic areas, aiming to discover novel, clinically differentiated drug candidates for promising therapeutic targets (the "Collaboration").

In this Collaboration, Insilico Medicine will lead AI-driven discovery to identify molecules meeting predefined scientific and early development criteria, while Takeda will apply its global development capabilities to advance selected candidates through clinical validation.

Under the terms of the relevant agreement, Insilico Medicine will receive approximately USD60 million in project initiation fees, near-term payments and milestones, and is eligible for success-based preclinical, clinical, commercial and sales milestone payments that could bring the total deal value to approximately USD600 million, plus tiered royalties on future sales. The agreement grants Takeda exclusive worldwide rights to develop, manufacture, and commercialize novel therapeutics selected through the Collaboration.
