(hereinafter referred to as the "Company") held the 20th meeting of the eighth board of directors on April 23, 2026 to review and approve the "Proposal on the Transfer of 100% Equity in Nanjing Xinbai Pharmaceutical Co., Ltd. and Related Transactions". The company and its wholly-owned subsidiary Jiangxi Boya Pharmaceutical Investment Co., Ltd. paid 23,545.62 Wan Yuan transferred 100% equity of Nanjing Xinbai Pharmaceutical Co., Ltd. (hereinafter referred to as "Xinbai Pharmaceutical") to China Resources Shuanghe Pharmaceutical Co., Ltd. For details, please refer to the "Company's Announcement on the Transfer of 100% Equity and Related Transactions of Nanjing Xinbai Pharmaceutical Co., Ltd." disclosed by the company on April 25, 2026 (2026-027).
On June 25, 2026, the company received the "Registration Notice" from Xinbai Pharmaceutical, and Xinbai Pharmaceutical completed the relevant industrial and commercial change registration procedures for the above-mentioned equity transfer. After the above equity transfer, Xinbai Pharmaceutical will no longer be included in the company's consolidated statements.
