Beijing Gaopeng Law Firm (hereinafter referred to as the "firm") accepted the entrustment of Yingke Medical Technology Co., Ltd. (hereinafter referred to as the "company") and assigned lawyers to attend and witness the company's 2025 annual shareholders' meeting (hereinafter referred to as the "shareholders' meeting").

In accordance with the relevant provisions of the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Rules of Shareholders' Meetings of Listed Companies" and other laws, regulations, rules and normative documents, as well as the relevant provisions of the "Articles of Association of Yingke Medical Technology Co., Ltd." (hereinafter referred to as the "Articles of Association"), our lawyers issue this legal opinion on matters such as the convening and convening procedures of this shareholders' meeting, the qualifications of attendees, the qualifications of the convener, the voting procedures and voting results of the meeting.

Regarding the issuance of this legal opinion, our lawyers make the following statement:

  1. Our lawyers only express opinions on the convening and convening procedures of this shareholders' meeting, the qualifications of the personnel attending the on-site meeting, the qualifications of the convener, the voting procedures of the meeting and the legality of the voting results. We do not express opinions on the content of the motions considered at this meeting and the authenticity, accuracy and completeness of the facts or data expressed in such motions;

  2. Our lawyers are unable to witness the online voting process. The qualifications of shareholders participating in the online voting of this shareholders’ meeting and the online voting results will be certified by the corresponding stock exchange trading system and Internet voting system;

  3. In order to issue this legal opinion, our firm and our lawyers have strictly performed their statutory duties and followed the diligent rules in accordance with the "Administrative Measures for Law Firms Engaged in Securities Legal Business" and the "Law Firms' Securities Legal Practice Practice Rules (Trial)" and the facts that have occurred or existed before the date of issuance of this legal opinion. In accordance with the principles of due diligence and good faith, we have conducted necessary verification and verification on the materials and documents related to this shareholders' meeting to ensure that the facts identified in this legal opinion are true, accurate, and complete, and that the concluding opinions issued are legal and accurate, and there are no false records, misleading statements, or major omissions, and we shall bear corresponding legal liabilities.

  4. This legal opinion is only used for the purpose of witnessing the company's shareholders' meeting and may not be used for any other purpose. The lawyers of our firm agree to announce this legal opinion together with the resolution of the company's shareholders' meeting.

In accordance with the requirements of relevant laws, regulations, rules and normative documents, and in accordance with the business standards, ethics and diligence and diligence recognized by the lawyer industry, our lawyers hereby issue the following legal opinions:

1. Convening and convening procedures of this shareholders’ meeting

After verification, the company's shareholders' meeting was decided by the 14th (regular) meeting of the company's fourth board of directors and convened by the board of directors. The company's board of directors issued the "Notice on Convening the 2025 Annual Shareholders' Meeting" (hereinafter referred to as the "Meeting Notice") on the cninfo.com on April 24, 2026. The meeting notice stated the time, location, convening method, matters to be considered, attendees of the meeting, meeting registration methods, etc. of the shareholders' meeting.

On May 8, 2026, the company's controlling shareholder Mr. Liu Fangyi proposed a temporary proposal and submitted it in writing to the company's board of directors. The temporary proposal was reviewed and approved at the 15th meeting of the company's fourth board of directors held on May 8, 2026. The company's board of directors issued the "Announcement on Adding Temporary Proposals to the 2025 Shareholders' Meeting" (hereinafter referred to as the "Supplementary Notice of the Meeting") on the cninfo.com on May 8, 2026. The company's board of directors issued a supplementary notice to the shareholders' meeting within two days after receiving the proposal, announcing the contents of the temporary proposals, and submitted the temporary proposals to this shareholders' meeting for review.

This shareholders' meeting will be held through a combination of on-site voting and online voting. The on-site shareholders' meeting was held as scheduled on May 18, 2026, in the conference room at the meeting location in the company's shareholders' meeting notice. It was chaired by Ms. Hua Cuiping, an employee director jointly recommended by more than half of the company's directors. The online voting time for this meeting is May 18, 2026. The online voting time through the Shenzhen Stock Exchange trading system is: 9:15-9:25, 9:30-11:30, 13:00-15:00 on May 18, 2026; the specific time for voting through the Shenzhen Stock Exchange Internet system is: 9:15-15:00 on May 18, 2026.

After inspection by our lawyers, the convening and convening procedures of this shareholders' meeting complied with the relevant provisions of the "Company Law", "Rules for Shareholders' Meetings of Listed Companies", "Articles of Association" and other relevant provisions.

2. Qualifications of persons attending this shareholders’ meeting and qualifications of convener

  1. Shareholders and shareholders’ agents attending this shareholders’ meeting

After verification, a total of 471 shareholders and shareholders' proxies attended this shareholders' meeting, representing 325,507,953 shares, accounting for 49.9669% of the company's total voting shares (excluding the number of shares in the special securities account for repurchase), including:

(1) Shareholders and shareholders’ agents attending the on-site meeting

According to relevant identification documents of shareholders attending the meeting on-site, shareholder power of attorney and valid personal identification documents submitted by shareholders’ agents, and shareholder rosters as of the equity registration date of this shareholders’ meeting, there were 5 shareholders and shareholders’ agents attending the on-site shareholders’ meeting, representing 232,142,637 shares, accounting for 35.6349% of the company’s total voting shares (excluding the number of shares in the special securities account for repurchase).

After inspection by our lawyers, the above-mentioned shareholders and shareholders' agents all hold legal certificates for attending the meeting, and their qualifications to attend the meeting are legal and valid.

(2) Shareholders participating in online voting

According to data provided by Shenzhen Securities Information Co., Ltd., a total of 466 shareholders effectively voted through the online voting system at this shareholders' meeting, representing 93,365,316 shares, accounting for 14.3320% of the company's total voting shares (excluding the number of shares in the special securities account for repurchase).

The qualifications of the above shareholders who vote through the online voting system will be verified by Shenzhen Securities Information Co., Ltd., the provider of the online voting system.

In addition to the above-mentioned shareholders and shareholders' agents, other persons attending and attending this shareholders' meeting also include some directors and senior managers of the company.

  1. The convener of this shareholders’ meeting

The convener of this shareholders' meeting is the company's board of directors.

To sum up, our lawyers believe that the qualifications of the people attending the shareholders' meeting and the qualifications of the convener comply with the relevant provisions of the "Company Law", "Rules for Shareholders' Meetings of Listed Companies", "Articles of Association" and other relevant provisions, and are legal and valid.

3. Voting procedures and results of this shareholders’ meeting

This shareholders' meeting will adopt a voting method that combines on-site voting and online voting. The on-site voting at this shareholders' meeting will be counted and monitored by shareholder representatives and our lawyers. The online voting of this shareholders' meeting shall be based on the voting statistics provided by Shenzhen Securities Information Co., Ltd. to the company.
