The review opinions of the Remuneration and Assessment Committee of the Board of Directors of Northeast Pharmaceutical Group Co., Ltd. on the company’s plan to repurchase and cancel the restricted shares that have been granted but not yet released from the 2022 Restricted Stock Incentive Plan and adjust the first grant and reserved grant repurchase prices of the 2022 Restricted Stock Incentive Plan
In accordance with relevant regulations such as the "Shenzhen Stock Exchange Stock Listing Rules", "Rules for Independent Directors of Listed Companies", "Articles of Association of Northeast Pharmaceutical Group Co., Ltd." (hereinafter referred to as "Articles of Association"), "Working Rules of Remuneration and Assessment Committee of Northeast Pharmaceutical Group Co., Ltd.", as a member of the Remuneration and Assessment Committee of the Board of Directors of Northeast Pharmaceutical Group Co., Ltd. (hereinafter referred to as "Company"), we plan to repurchase and cancel the restricted shares that have been granted but have not yet been released from sale in the 2022 Restricted Stock Incentive Plan and adjust 2022 The matters concerning the initial grant and reserved grant repurchase price of the 2016 restricted stock incentive plan have been carefully reviewed, and the review opinions are as follows:
- Review opinions on the proposed repurchase and cancellation of some of the restricted stocks that have been granted but have not yet been released from sales restrictions under the 2022 Restricted Stock Incentive Plan
In view of the fact that three restricted stock incentive targets in the company's 2022 restricted stock incentive plan are no longer eligible for incentives due to job changes, it is planned to repurchase and cancel a total of 750,000 restricted stocks that have been granted but have not yet been released. The proposed repurchase and cancellation of restricted stocks is in compliance with relevant regulations such as the "Northeast Pharmaceutical Group Co., Ltd. 2022 Restricted Stock Incentive Plan (Draft)". The decision-making and approval procedures are legal and compliant, will not affect the company's ongoing operations, and will not harm the legitimate rights and interests of the company and its shareholders, especially small and medium-sized shareholders.
We agree that the company plans to repurchase and cancel some of the restricted shares that have been granted but have not yet been released from the 2022 restricted stock incentive plan, and will submit the matter to the company's board of directors for review.
- Review opinions on adjusting the repurchase price of the first grant and reserved grant of the restricted stock incentive plan in 2022
In view of the fact that three restricted stock incentive targets in the company's 2022 restricted stock incentive plan are no longer eligible for incentives due to job changes, it is planned to repurchase and cancel a total of 750,000 restricted stocks that have been granted but have not yet been released. In accordance with the "2022 Restricted Stock Incentive Plan (Draft)" and other relevant regulations, the company needs to adjust the first grant and reserved grant repurchase prices of the 2022 restricted stock incentive plan. There will be no harm to the interests of the company and all shareholders, especially small and medium-sized shareholders.
We agree that the company will adjust the repurchase price of the first grant and reserved grant of the restricted stock incentive plan in 2022, and submit the matter to the company's board of directors for review.
