The seventh meeting of the 10th Board of Supervisors of Nanjing Xinjiekou Department Store Co., Ltd. (hereinafter referred to as the company) was held on November 28, 2025 by a combination of communication voting. The meeting notice was sent to all supervisors by email on November 25, 2025. There were 3 supervisors who were supposed to attend this meeting, and 3 supervisors actually participated. The convening, holding and voting procedures of this meeting complied with the relevant provisions of the Company Law and the Articles of Association.
The meeting reviewed and approved the "Proposal on Amending the Articles of Association and Abolition of the Board of Supervisors".
In accordance with the provisions of the Company Law, the China Securities Regulatory Commission's "Transitional Arrangements for the Implementation of Supporting Systems and Rules of the New Company Law", "Guidelines on the Articles of Association of Listed Companies" and other relevant laws and regulations, and based on the actual situation of the company, the company will no longer have a board of supervisors, and the audit committee of the board of directors will exercise the relevant powers of the board of supervisors stipulated in the "Company Law".
