3. This time’s plan to use part of the idle raised funds to temporarily supplement working capital

In order to improve the efficiency of the use of raised funds, reduce financial expenses, reduce the company's operating costs, and safeguard the interests of the company and all shareholders, and on the premise of ensuring the normal progress of the fund demand for the construction of investment projects with raised funds and the plan for the use of raised funds, the company and its wholly-owned subsidiary Zhejiang Qizheng Pharmaceutical Co., Ltd. plan to use idle raised funds not exceeding RMB 150 million to temporarily supplement working capital. The use period shall not exceed 12 months from the date of approval by the company's board of directors, and will be returned to the corresponding raised funds account upon expiration.

The use of part of the idle raised funds to temporarily replenish working capital this time is limited to production and operations related to the main business, and is implemented through a special account of raised funds. It will not change the purpose of the raised funds, and will not affect the normal progress of the investment plan of the raised funds; it will not be used for the allotment and subscription of new shares through direct or indirect arrangements, or for transactions such as stocks and their derivatives, convertible corporate bonds, etc., and there will be no harm to the interests of shareholders.

On April 27, 2026, the company held the 11th meeting of the fourth board of directors, and reviewed and approved the "Proposal on Using Part of Idle Raised Funds to Temporarily Supplement Working Capital", agreeing that the company and its subsidiaries will use idle raised funds not exceeding RMB 150 million to temporarily supplement working capital. This matter does not need to be submitted to the shareholders' meeting for review.

The company and its subsidiaries used part of the idle raised funds to temporarily replenish working capital this time, which complies with the provisions of relevant laws and regulations such as the "Supervisory Rules for Funds Raised by Listed Companies", "Stock Listing Rules of the Shanghai Stock Exchange", "Self-Discipline Supervision Guidelines for Listed Companies of the Shanghai Stock Exchange No. 1 - Standardized Operations", and meets regulatory requirements.

5. Explanation of special opinions

After verification, the sponsor believes that the company and its subsidiaries plan to use no more than 150 million yuan of idle raised funds to temporarily replenish working capital, which has been reviewed and approved at the 11th meeting of the company's fourth board of directors, and has fulfilled the corresponding legal procedures and complies with relevant regulations such as the "Supervisory Rules for Listed Companies' Raised Funds", "Shanghai Stock Exchange Self-Discipline Supervision Guidelines for Listed Companies No. 1 - Standardized Operations" and the company's "Raised Funds Management System".

Based on the above opinions, the sponsor has no objection to the company and its subsidiaries using part of the idle raised funds to temporarily supplement working capital.
