In accordance with the relevant provisions of the China Securities Regulatory Commission's "Measures for the Administration of Independent Directors of Listed Companies" and "Shanghai Stock Exchange Self-Regulatory Guidelines for Listed Companies No. 1 - Standardized Operations", the board of directors of Chenxin Pharmaceutical Co., Ltd. (hereinafter referred to as the "Company") evaluated the independence of the company's independent directors Mr. Zhang Ziran, Mr. Cai Wenchun and Ms. Wang Weijia in 2025 and issued the following special opinions:
After verification, the employment experience of independent directors Mr. Zhang Ziran, Mr. Cai Wenchun, and Ms. Wang Weijia and the relevant self-examination documents signed by them showed that the above-mentioned persons do not belong to the relevant personnel who are not allowed to serve as independent directors as stipulated in Article 6 of the "Administrative Measures for Independent Directors of Listed Companies".
Independent directors Mr. Zhang Ziran, Mr. Cai Wenchun, and Ms. Wang Weijia do not hold any position in the company other than as independent directors, nor do they hold any position with the company's major shareholders. They have no interest relationship with the company, major shareholders, and actual controllers or other relationships that may hinder their independent and objective judgment. Therefore, the company's board of directors believes that the company's independent directors meet the relevant requirements for the qualifications and independence of independent directors in the "Administrative Measures for Independent Directors of Listed Companies" and "Shanghai Stock Exchange Self-Discipline Supervision Guidelines for Listed Companies No. 1 - Standardized Operations", 2025 There were no circumstances that affected the independence of independent directors during the year.
