Nanjing Jianyou Biochemical Pharmaceutical Co., Ltd. (hereinafter referred to as the "Company") held the 12th meeting of the fifth board of directors on April 28, 2025, and reviewed and approved the "Proposal on the Company's Re-appointment of the Audit Institution for 2025", and agreed that the company should appoint Gongzheng Tianye Accounting Firm (Special General Partnership) (hereinafter referred to as "Gongzheng Tianye") as the company's audit institution for 2025 for a period of one year; and requested the shareholders' meeting to authorize the board of directors to decide the audit fees for 2025. The above proposal has been reviewed and approved by the company's 2024 annual shareholders' meeting.
On April 14, 2026, the company received the "Letter of Explanation on Changing the Signing Certified Public Accountant and Project Quality Control Reviewer of Nanjing Jianyou Biochemical Pharmaceutical Co., Ltd." from Notary Tianye. The relevant information is now announced as follows:
1. Change of signing accountant
In view of the work adjustment of the original signing CPA Mr. Yu Zhe and the project quality control reviewer Ms. Xue Min, Mr. Zhang Chi is now appointed to replace Mr. Yu Zhe as the signing CPA, and Ms. Chen Xia replaces Ms. Xue Min as the project quality control reviewer to continue to complete the company's 2025 financial report audit and internal control audit.
2. Resume and independence and integrity of the certified public accountant who signed this change
Signing CPA Mr. Zhang Chi: He became a certified public accountant in January 2024, and began to engage in auditing listed companies in July 2014; he began practicing at Notary Tianye in 2023; he has not signed other listed company audit reports in the past three years.
Project quality control reviewer Ms. Chen Xia: She became a certified public accountant in April 2015, started auditing listed companies in November 2012, and started practicing in Notarization Tianye in 2015. The listed companies reviewed in the past three years include Xinpengwei (688508), Best (300580), Newamstar (300509), etc. She has experience in the securities service business and possesses corresponding professional competencies.
Mr. Zhang Chi and Ms. Chen Xia have not violated the independence requirements of the "Chinese Code of Professional Ethics for Certified Public Accountants". They have not been criminally punished for their professional conduct in the past three years, and have not been subject to administrative penalties or supervisory management measures by the China Securities Regulatory Commission, its agencies, industry authorities, etc.; they have not been subject to self-regulatory measures or disciplinary sanctions by self-regulatory organizations such as stock exchanges and industry associations.
3. Other instructions
Relevant work arrangements during this change will be handed over in an orderly manner, and the changes will not have an impact on the company's 2025 financial report audit and internal control audit.
