Shanghai Haili Biotechnology Co., Ltd. (hereinafter referred to as the "Company") held the 21st meeting of the fifth board of directors on May 28, 2026, and reviewed and approved the "Proposal on Changing the Company's Registered Capital and Amending the Articles of Association". The relevant situation is now announced as follows:
1. Changes in registered capital
On May 28, 2026, the company held the 21st meeting of the fifth session of the Board of Directors, which reviewed and approved the "Proposal on the Company's 2023 Restricted Stock and Stock Option Incentive Plan Restricted Stock Restricted Stock's Third Release Restriction Period Unfulfilled Restriction Conditions and Repurchase and Cancellation of Remaining Restricted Stock and Stock Option Exercise Conditions Unfulfilled and Stock Option Cancellation". The company plans to repurchase and cancel a total of 2,925,000 restricted shares that have been granted but have not yet been released due to reasons such as the resignation of incentive targets and failure to meet assessment standards. After the repurchase and cancellation is completed, the company's total number of shares will change from 651,904,700 shares to 648,979,700 shares, and the registered capital will change from 651,904,700 yuan to 648,979,700 yuan.
