(hereinafter referred to as "Marubi Biotechnology" or the "Company"), in accordance with the "Company Law of the People's Republic of China", "Securities Law of the People's Republic of China", "Measures for the Administration of Sponsorship Business for Securities Issuance and Listing", "Supervisory Rules for Fund Raising by Listed Companies", "Stock Listing Rules of the Shanghai Stock Exchange" and "Self-Regulatory Supervision Guidelines for Listed Companies of the Shanghai Stock Exchange" No. 1 - Standardized Operations" and other relevant regulations, Marubi Biotech has conducted a careful review on the use of part of idle raised funds to temporarily supplement working capital. The review situation and review opinions are as follows:

3. This time’s plan to use part of the idle raised funds to temporarily supplement working capital

According to the company's production and operation needs and financial status, in order to improve the efficiency of the use of raised funds and reduce operating costs, and on the premise of ensuring that the construction of investment projects with raised funds and the use plan of raised funds are not affected, the company plans to use no more than RMB 80 million of temporarily idle raised funds to temporarily supplement working capital. The use period will not exceed 12 from the date of review and approval by the company's board of directors. Months, the above quota can be used on a rolling basis during the validity period of the resolution, and will be returned to the corresponding special account for raised funds when it expires. The company will implement this temporary replenishment by opening a special account for raised funds. The company's board of directors agreed to authorize the company's management and its authorized persons to sign the "Tripartite Supervision Agreement for Special Account Deposit of Raised Funds" with the sponsor and the bank, and authorized the Finance Department to specifically handle other matters related to the temporary replenishment of liquidity for the raised funds.

The company will use the above-mentioned raised funds in strict accordance with the relevant regulations of the China Securities Regulatory Commission, the Shanghai Stock Exchange and the company's "Raised Funds Management System" and other relevant requirements. The use of part of the idle raised funds to temporarily replenish working capital is limited to production and operations related to the main business. It will not change or change the purpose of the raised funds in any disguise, and will not affect the normal advancement of investment projects with raised funds. Upon expiration of the use period, the company will promptly and fully return the raised funds used to temporarily replenish working capital. If the raised funds investment project needs to use this part of the raised funds to supplement working capital due to investment and construction needs, the company will return it in a timely manner to ensure that the normal implementation of the raised funds investment projects is not affected.

The company's use of part of the idle raised funds to temporarily replenish working capital has been reviewed and approved at the 15th meeting of the company's fifth board of directors, and the necessary review procedures have been performed and complied with the "Regulations on the Supervision of Funds Raised by Listed Companies", "Shanghai Stock Exchange Self-Discipline Supervision Guidelines for Listed Companies No. 1 - Standardized Operations" and other relevant regulations. The company's use of part of the idle raised funds to temporarily replenish working capital is limited to production and operations related to its main business. It will not change or disguise the purpose of the raised funds, and will not affect the normal advancement of investment projects with raised funds, which will help improve the efficiency of the use of raised funds. The sponsor has no objection to the company's use of part of the idle raised funds to temporarily replenish working capital.
