The third special meeting of the independent directors of the second board of directors of Jiangsu Kangwei Century Biotechnology Co., Ltd. (hereinafter referred to as the "Company") in 2025 was held from 9:00 to 9:30 am on October 13, 2025 in the form of on-site communication and communication. 3 people should be present at the meeting, but 3 people were actually present. This meeting was chaired by independent director Xiao Xiao. In addition, some of the company's management personnel also attended the meeting.
The convening, holding and voting procedures of this meeting are in compliance with the Company Law, the Measures for the Administration of Independent Directors of Listed Companies and other laws and regulations, normative documents, and relevant provisions such as the Articles of Association, the Company’s Independent Directors’ Working System, the Company’s Independent Directors’ Special Meeting Working System. After careful deliberation by the independent directors present at the meeting, a resolution was formed and the review opinions were issued as follows:
1. Consideration and approval of the "Proposal on Acquisition of Minority Shareholder Equity and Related Transactions in Controlled Subsidiaries"
After careful review of the relevant information, we unanimously recognized that the company, based on its own business development needs, plans to acquire 49% of the equity of Haowitai held by the minority shareholder Shanghai Tianhao Biotechnology Co., Ltd. at a consideration of 17.885 million yuan on the basis of the current 51% stake in its holding subsidiary Shanghai Haowitai Biotechnology Co., Ltd. (hereinafter referred to as "Haowitai"). After the acquisition is completed, Haoweitai will become a wholly-owned subsidiary of the company.
