CITIC Securities Co., Ltd. (hereinafter referred to as "CITIC Securities" or the "Sponsor"), as the sponsor for the initial public offering of Kemei Diagnostics Technology Co., Ltd. (hereinafter referred to as "Komei Diagnostics" or the "Company"), in accordance with the "Regulatory Guidelines for Listed Companies No. 2 - Regulatory Requirements for the Management and Use of Funds Raised by Listed Companies", the "Self-Regulatory Guidelines for Companies Listed on the Shanghai Stock Exchange Science and Technology Innovation Board No. 1 - Standardized Operations", the "Shanghai Stock Exchange Science and Technology Innovation Board Stock Listing Rules" and other relevant regulations, CITIC Securities Co., Ltd. The storage and use of annual raised funds were specially verified. The verification results are as follows:

1. Basic situation of raised funds

(1) The actual amount of funds raised and the time when the funds will be received

With the approval of the China Securities Regulatory Commission's "Reply on the Registration of the Initial Public Offering of Shares of Kemei Diagnostic Technology Co., Ltd." (CSRC License [2021] No. 550), the company issued 41,000,000 RMB ordinary shares to the public for the first time, with a par value of RMB 1.00 per share, an issue price of RMB 7.15 per share, and a total amount of funds raised of RMB 293,150,000.00. The amount of various issuance expenses (excluding tax) is RMB 44,593,051.99, and the net amount of funds raised after deducting the issuance expenses is RMB 248,556,948.01.

ShineWing Certified Public Accountants LLP (Special General Partnership) verified the company's funding availability for this public issuance of new shares, and issued "Capital Verification Report" No. XYZH/2021BJAB10387 on April 2, 2021.

After the raised funds arrive, they have all been deposited in the special account for raised funds. In accordance with the requirements of the "Shanghai Stock Exchange's Self-Regulatory Supervision Guidelines for Companies Listed on the Science and Technology Innovation Board No. 1 - Standardized Operations", the company has signed the "Tripartite Supervision Agreement for the Special Account Storage of Raised Funds" and the "Four-Party Supervision Agreement for the Special Account Storage of Raised Funds" with the sponsor institution and the commercial bank where the raised funds are deposited.

(1) Management system of raised funds

In order to standardize the management and use of raised funds and protect the rights and interests of investors, in accordance with the "Shanghai Stock Exchange Science and Technology Innovation Board Stock Listing Rules" and "Listed Company Supervision Guidelines No. 2 - Supervisory Requirements for the Management and Use of Raised Funds by Listed Companies", "Shanghai Stock Exchange Science and Technology Innovation Board Listed Companies Self-Discipline Supervision Guidelines No. 2" No. 1 - Standardized Operations" and other laws, regulations and normative documents, combined with the actual situation, the company formulated the "Measures for the Management of Raised Funds of Kemei Diagnostic Technology Co., Ltd." (hereinafter referred to as the "Measures for the Management of Raised Funds"), which made specific and clear provisions on the storage, use, management and supervision of raised funds, and strictly managed and used the raised funds in accordance with the provisions of the "Measures for the Management of Raised Funds".

(2) Supervision agreement on raised funds and storage of special accounts

In accordance with the provisions of the "Regulations on the Management of Raised Funds" and in combination with operational needs, the company and the sponsor CITIC Securities signed a "Tripartite Supervision Agreement" with the Beijing Zhongguancun Branch of Bank of Hangzhou Co., Ltd. and the Shanghai Branch of Ping An Bank Co., Ltd. respectively; the company, CITIC Securities and Ping An Bank Co., Ltd. Shanghai Branch respectively signed a "Tripartite Supervision Agreement" with the subsidiary Kemei Boyang Diagnostic Technology (Shanghai) Co., Ltd. (hereinafter referred to as "Kemei Boyang") and Kemei Diagnostic Technology (Suzhou) Co., Ltd. (hereinafter referred to as "Suzhou Kemei") signed the "Four-Party Supervision Agreement for the Special Account Storage of Raised Funds"; the company, CITIC Securities, China Construction Bank Co., Ltd. Suzhou High-tech Industrial Development Zone Branch and its subsidiary Suzhou Kemei signed the "Four-Party Supervision Agreement for the Special Account Storage of Raised Funds", which clarifies the rights and obligations of all parties. There are no major differences between the above-mentioned regulatory agreement and the Shanghai Stock Exchange's sample fund-raising regulatory agreement, and the company has strictly complied with it when using the raised funds.

As of December 31, 2025, the company's special account for funds raised from the initial public offering has no balance and has been closed.

3. Actual use of funds raised this year

(2) Advance investment and replacement of raised funds

In 2025, the company will not use raised funds to replace upfront investment.

(4) Cash management and investment in related products of idle raised funds

The company held the third meeting of the second board of directors and the third meeting of the second board of supervisors on April 26, 2023, and reviewed and approved the "Proposal on the Company's Use of Idle Raised Funds for Cash Management" and agreed that the company's reasonable use limit shall not exceed RMB 100,000,000.00 on the premise that it will not affect the construction and use arrangements of the raised funds projects and effectively control risks. RMB (including the principal amount) of temporarily idle raised funds will be used for cash management and the purchase of capital-guaranteed products with high security and good liquidity (including but not limited to agreement deposits, structured deposits, time deposits, large certificates of deposit, notice deposits and other products). The usage period is valid for 12 months from the date of approval by the company's board of directors. Within the aforementioned limit and usage period, funds can be used on a rolling basis. The company's supervisory board and independent directors issued clear consent opinions on the above matters.

The company held the 10th meeting of the second board of directors and the ninth meeting of the second board of supervisors on April 29, 2024, and reviewed and approved the "Proposal on the Company's Use of Idle Raised Funds for Cash Management" and agreed that the company's reasonable use limit shall not exceed RMB 3,000 on the premise that it will not affect the construction and use arrangements of the raised funds projects and effectively control risks. Temporarily idle raised funds of RMB 10,000 (including the principal amount) will be used for cash management and the purchase of capital-guaranteed products with high security and good liquidity (including but not limited to agreement deposits, structured deposits, time deposits, large certificates of deposit, notice deposits and other products). The usage period is valid for 12 months from the date of approval by the company's board of directors. Within the aforementioned limit and usage period, funds can be used on a rolling basis. The company's supervisory board and sponsor issued clear consent opinions on the above matters.

As of December 31, 2025, the company had not used temporarily idle raised funds for cash management.

(5) Use of excess raised funds to permanently supplement working capital or return bank loans
