1. Basic situation of raised funds

With the approval of the China Securities Regulatory Commission's "Reply on the Registration of the Initial Public Offering of Stocks of Zhonghong Pulin Medical Products Co., Ltd." (CSRC License [2021] No. 758), Zhonghong Pulin Medical Products Co., Ltd. (hereinafter referred to as the "Company") made its initial public offering of 41,670,000 RMB ordinary shares (A shares) with a par value of RMB 1.00 per share and an issue price of RMB 48.59 per share. Yuan, the total amount of funds raised was RMB 2,024,745,300.00. After deducting the total issuance expenses (excluding value-added tax) of RMB 128,288,946.26, the actual net amount of funds raised was RMB 1,896,456,353.74. After deducting the need to use raised funds for investment projects, the excess raised funds was 1,316,713,653.74 yuan. The raised funds were credited to the company's designated account on April 21, 2021. Rongcheng Accounting Firm (Special General Partnership) verified the availability of funds for the company's initial public offering of stocks and issued a "Capital Verification Report" (Rongcheng Yanzi [2021] No. 350Z0002).

2. The opening of a special fund-raising account and the signing of a fund-raising supervision agreement

The company held the 18th meeting of the fourth board of directors and the 2025 annual shareholders' meeting on April 24, 2026 and May 18, 2026, respectively, and reviewed and approved the "Proposal on the Plan to Use Temporarily Idle Over-raised Funds and Their Interests for Cash Management in 2026", and agreed that the company will conduct cash management of temporarily idle over-raised funds and their interest without affecting the construction of investment projects with raised funds and the company's normal operations to increase the company's income. The amount of idle super-raised funds and their interest will not exceed 700 million yuan, and the term of a single product shall not exceed twelve months. The funds can be used on a rolling basis. After the cash management of idle raised funds expires, they will be returned to the special account for raised funds in a timely manner. Investment products for cash management include, but are not limited to, structured deposits, certificates of deposit, income certificates, government bond reverse repurchases and other capital-preserving products with high security and good liquidity. And agree to authorize the chairman, general manager or their authorized personnel representatives to sign relevant contract documents, and specific matters will be implemented by the company's relevant business departments.

Recently, the company opened a special account for raised funds at the Beijing Branch of Bank of Hangzhou Co., Ltd. (hereinafter referred to as "Hangzhou Bank Beijing Branch"), and signed a "Tripartite Supervision Agreement for Raised Funds" with the above-mentioned bank and the sponsoring institution Cathay Haitong Securities Co., Ltd. The opening of the above-mentioned special account for raised funds is as follows:

3. Main contents of the raised funds supervision agreement

  1. Party A: Zhonghong Pulin Medical Products Co., Ltd.

Party B: Hangzhou Bank Co., Ltd. Beijing Branch

Party C: Cathay Haitong Securities Co., Ltd.

  1. Party A opens a special account for raised funds (hereinafter referred to as the special account) with Party B. The account number is 1101041060000441691. As of May 26, 2026, the balance of the special account is 00,000 yuan. This account is not overdrafted, cannot purchase checks and other payment vouchers, cannot be exchanged, and cannot be withdrawn. Payment can be made through corporate online banking, and online banking payments must be reviewed by Party B on site.

  2. In order to ensure the safe use of project funds, Party A applying for external payment of funds should provide Party B with fund transfer payment instructions or approved online banking payment instructions; after receiving the payment instructions or online banking payment instructions, Party B should review the completeness and superficial consistency of each payment element, and transfer the funds by transfer after the review is correct. Party A can transfer account funds through the counter or online banking system, and the details shall be handled according to Party B's requirements.

  3. Party A, Party B and Party C shall jointly abide by the "Negotiable Instruments Law of the People's Republic of China", "Payment and Settlement Measures", "RMB Bank Settlement Account Management Measures" and other laws, regulations and rules.

  4. As Party A’s sponsor/financial advisor, Party C shall designate a sponsor representative/sponsor or other staff member in accordance with relevant regulations to supervise the use of funds raised by Party A. Party C shall perform its supervision responsibilities in accordance with the "Shenzhen Stock Exchange Self-Regulatory Guidelines for Listed Companies No. 2 - Standardized Operation of GEM Listed Companies", the raised funds management system formulated by Party A and the "Announcement on the Plan to Use Temporarily Idle Over-raised Funds and their Interest for Cash Management in 2026", etc., and may exercise its supervision rights through on-site investigations, written inquiries, etc. Party A and Party B shall cooperate with Party C’s investigation and inquiry. Party C shall conduct on-site inspections of the storage and use of funds raised by Party A every six months.

  5. Party A authorizes Party C’s designated sponsor representatives/sponsors Ge Longlong and Lei Hao to come to Party B at any time during Party B’s business hours to inquire and copy the information on Party A’s special account; Party B shall provide them with the required information on the special account in a timely, accurate and complete manner.

The sponsor representative/sponsor shall produce his or her legal identity certificate when inquiring about Party A's special account from Party B; other staff designated by Party C shall produce his or her legal identity certificate and a letter of introduction from the company when inquiring about Party A's special account from Party B.

  1. Party B shall issue statements to Party A on a monthly basis and send a copy to Party C. Party B shall ensure that the contents of the statement are true, accurate and complete.

  2. If Party A’s cumulative withdrawals from the special account at one time or within twelve months exceed 50 million yuan or 20% of the net raised funds, Party B shall promptly notify Party C by email and provide a list of expenditures from the special account.
