In accordance with the requirements of the China Securities Regulatory Commission's "Administrative Measures for Independent Directors of Listed Companies" and "Shenzhen Stock Exchange Self-Regulatory Guidelines for Listed Companies No. 2 - Standardized Operations of GEM Listed Companies", the board of directors of Yantai Zhenghai Biotechnology Co., Ltd. (hereinafter referred to as the "Company") evaluated the independence of the company's serving independent directors and issued the following special opinions:

By reviewing the employment experience of Mr. Song Xiliang, Mr. Wang Hui, and Mr. Li Jianghua, the company's independent directors, and the relevant self-examination documents signed, it was confirmed that the above-mentioned persons did not hold any position in the company other than independent directors during their tenure, nor did they hold any position in the company's major shareholder company. There is no interest relationship with the company or major shareholders or other relationships that may hinder their independent and objective judgment, and there are no circumstances that affect the independence of independent directors. Therefore, it complies with the relevant requirements on the qualifications and independence of independent directors in the "Measures for the Administration of Independent Directors of Listed Companies", "Shenzhen Stock Exchange Self-Regulatory Guidelines for Listed Companies No. 2 - Standardized Operation of GEM Listed Companies" and other laws, regulations, normative documents and the "Articles of Association".
