SDIC Securities Co., Ltd. (formerly Essence Securities Co., Ltd., hereinafter referred to as "SDIC Securities" and the "Sponsor") serves as the sponsor for Wuhan Haite Biopharmaceutical Co., Ltd. (hereinafter referred to as "Haite Bio" or the "Company" or the "Issuer") to issue stocks to specific objects through a simplified procedure in 2022, and will perform continuing supervision responsibilities until December 31, 2025. At present, the period of continuous supervision has expired. During the due diligence recommendation stage, the sponsor actively coordinates various intermediaries to participate in the issuance and listing of Haite Bio-Securities, conducts due diligence and prudential verification of the company in strict accordance with laws, administrative regulations and the provisions of the China Securities Regulatory Commission, organizes the preparation of application documents and issues recommendation documents; in accordance with the China Securities Regulatory Commission, Shenzhen Securities Regulatory Commission, According to the requirements of the stock exchange, conduct due diligence or verification on specific matters related to the issuance and listing of this securities, and conduct professional communication with the China Securities Regulatory Commission and the Shenzhen Stock Exchange; in accordance with the requirements of the listing rules of the stock exchange, submit relevant documents required for recommending stocks to the stock exchange to the stock exchange and report them to the China Securities Regulatory Commission for filing.

(4) Supervise issuers to establish, improve and effectively implement information disclosure systems, and review information disclosure documents and other relevant documents;

(5) Continue to pay attention to the fulfillment of commitments made by the issuer and its major shareholders, directors, supervisors, senior managers, etc., and continue to pay attention to commitments such as the special account storage of funds raised by the issuer and the implementation of investment projects;

(6) Continue to pay attention to the situation where the issuer or its controlling shareholders, actual controllers, directors, supervisors, and senior managers are subject to administrative penalties from the China Securities Regulatory Commission, disciplinary sanctions from the stock exchanges, or are issued regulatory attention letters by the stock exchanges;

(7) Continue to pay attention to public media reports about the issuer, and promptly check market rumors; (8) Continue to pay attention to matters such as the issuer's provision of guarantees for others, and express opinions;

(9) Conduct on-site inspections of issuers in accordance with regulatory regulations;

(10) Other tasks stipulated in the provisions of the China Securities Regulatory Commission and stock exchanges and the "Sponsorship Agreement" and "Continuous Supervision Agreement".

5. Major events that occurred during the performance of sponsorship duties and their handling

  1. Regarding the postponement of some investment projects with raised funds

Although the company's investment projects have undergone sufficient feasibility studies in the early stage, the company's wholly-owned subsidiary Hanrui Pharmaceutical (Jingmen) Co., Ltd. (hereinafter referred to as "Jingmen Hanrui") has completed the construction of two commercial production workshops and supporting projects. It is mainly engaged in the production and sales of antiviral APIs and intermediates. The project investment is large, the depreciation of fixed assets has increased, and the competition in the API industry has reduced revenue, resulting in Jingmen Hanrui suffering serious losses. In order to ensure the stable development of Jingmen Hanrui and reduce the risk of using raised funds, the company has extended the date for the "high-end API R&D pilot project" to reach the expected usable state from February 15, 2025 to February 15, 2026. The company held the 17th meeting of the 8th board of directors and the 17th meeting of the 8th board of supervisors on August 26, 2024, and reviewed and approved the "Proposal on the Extension of Investment Projects with Partial Raised Funds". The company's independent directors issued unanimous independent opinions on the matter.

The company's antiviral workshop for APIs that had been put into production was saturated with orders, and revenue was in line with the company's expectations. However, in the past two years, the two production workshops that Jingmen Hanrui has commercialized have been insufficient in orders and the depreciation of fixed assets has increased, causing Jingmen Hanrui to suffer serious losses. At present, competition in the API industry has intensified, resulting in reduced revenue. Changes in the market environment have led to major changes in supply and demand in the industry. The new production capacity cannot be absorbed. In addition, Jingmen Hanrui is currently suffering from serious losses. In order to ensure the stable development of Jingmen Hanrui and reduce the use risk of raised funds, the raised funds investment project "High-end API R&D Pilot Project" was changed to the "National Class I New Drug Eprenamin New Indications Research Project", and the implementation entity was changed from "Hanrui Pharmaceutical (Jingmen) Co., Ltd." to "Wuhan Haite Biopharmaceutical Co., Ltd." The company held the sixth meeting of the ninth board of directors on December 29, 2025, and reviewed and approved the "Proposal on Changing the Use of Part of the Raised Funds and Closing Some Raised Investment Projects and Using the Surplus Raised Funds to Permanently Supplement Working Capital."   1. Continuous supervision stage

During the continuous supervision stage, the issuer can standardize operations and perform information disclosure obligations in accordance with the requirements of relevant laws and regulations; for important matters or information disclosure matters, the issuer can communicate with the sponsor in a timely manner and provide relevant documents and materials according to the sponsor's requirements, which provides convenience for the sponsor to perform continuous supervision responsibilities.

In accordance with the relevant regulations of the China Securities Regulatory Commission and stock exchanges, the sponsoring institution conducted a pre-review and post-prompt review of the information disclosure documents related to the sponsorship work during the issuer's continuous supervision period, and supervised the company to strictly fulfill its information disclosure obligations.
