Announcement on the resignation of independent directors

1. Basic information on the resignation of independent directors
Careide Holdings Co., Ltd. (hereinafter referred to as the "Company") received a written resignation report from independent director Mr. Xing Wei on August 27, 2026. Due to personal reasons, Mr. Xing Wei resigned from his positions as independent director, chairman of the audit committee, member of the remuneration and assessment committee, and member of the strategy committee of the company. After his resignation, Mr. Xing Wei will no longer hold any position in the company.
According to the relevant provisions of the "Administrative Measures for Independent Directors of Listed Companies" and "Shenzhen Stock Exchange Self-Regulatory Guidelines for Listed Companies No. 1 - Standardized Operation of Main Board Listed Companies", Mr. Xing Wei's resignation will result in the lack of accounting professionals among independent directors. Mr. Xing Wei's resignation report will take effect after the company's shareholders meeting elects a new independent director. During this period, Mr. Xing Wei will continue to perform his duties as an independent director and a member of the special committee of the board of directors in accordance with relevant laws and regulations. The company's board of directors will nominate new independent director candidates as soon as possible. After being submitted to the Shenzhen Stock Exchange for review and approval, they will be submitted to the company's shareholders' meeting for review.
As of the disclosure date of this announcement, Mr. Xing Wei does not hold shares in the company and has no unfulfilled public commitments. Mr. Xing Wei's resignation will not have any impact on the company's daily management, production and operations. Mr. Xing Wei will hand over the work in accordance with relevant regulations.
