Special opinions on the independence of independent directors

In accordance with the China Securities Regulatory Commission's "Measures for the Administration of Independent Directors of Listed Companies" and "Shenzhen Stock Exchange Self-Regulatory Guidelines for Listed Companies No. 2 - Standardized Operations of GEM Listed Companies" and other requirements, the board of directors of CSPC Pharmaceutical Co., Ltd. (hereinafter referred to as the "Company") evaluated the independence of the company's current independent directors Li Dibin, Yang Peng, Di Congzhi and Zhou Jianping and issued the following special opinions:

After self-examination by the company's independent directors, and verification by the board of directors of the independent directors' employment experience and performance, combined with relevant self-examination documents signed by the independent directors, the board of directors believes that: the company's current independent directors do not hold any position in the company other than independent directors, nor do they hold any position in the company's major shareholder company, and there is no interest relationship with the company or major shareholders or other relationships that may hinder their independent and objective judgment. Therefore, the company's independent directors comply with the relevant requirements for the independence of independent directors in the "Administrative Measures for Independent Directors of Listed Companies" and "Shenzhen Stock Exchange Self-Regulatory Guidelines for Listed Companies No. 2 - Standardized Operation of GEM Listed Companies".
