Public opinion management system

Chapter 1 General Provisions

Article 1 In order to improve the ability of Chengdu Kanghong Pharmaceutical Group Co., Ltd. (hereinafter referred to as the "Company") to respond to various public opinions, establish a rapid response and emergency response mechanism, promptly and properly handle the impact of various public opinions on investment value, business reputation and normal production and operation activities, and effectively protect the legitimate rights and interests of the company and investors, this system is formulated in accordance with the provisions of relevant laws, regulations and normative documents and the Articles of Association of Chengdu Kanghong Pharmaceutical Group Co., Ltd. (hereinafter referred to as the "Articles of Association") and in combination with the actual situation of the company.

Article 2 “Public opinion” as used in this system includes:

(1) Negative or false reports on the company by newspapers, television, Internet and other media;

(2) Rumors or information that exist in society that have or will have a negative impact on the company;

(3) Information that may or has affected the investment orientation of public investors and caused abnormal fluctuations in the trading prices of the company's stocks and its derivatives;

(4) Other event information involving the company’s information disclosure that may have a greater impact on the trading prices of the company’s stocks and its derivatives.

Article 3 Classification of public opinion information:

(1) Major public opinion: Refers to negative public opinion that spreads widely, seriously affects the company's public image or normal business activities, causes the company to suffer or may suffer losses, and causes or may cause large and abnormal fluctuations in the trading prices of the company's stocks and its derivatives.

(2) General public opinion: refers to other public opinions except major public opinions.

Article 4 The company's public opinion management work adheres to the principles of "unified command, rapid response, respect for facts, coordinated response, and emphasis on practical results" to effectively guide public opinion, avoid and eliminate various negative impacts that may be caused by media reports on the company, and effectively safeguard the company's interests and image.

Article 5 This system applies to the company and its wholly-owned subsidiaries and holding subsidiaries (hereinafter collectively referred to as "subsidiaries").

Chapter 2 The organizational system and work responsibilities of public opinion management

Article 6 The company shall establish a leading group for public opinion management (hereinafter referred to as the “Public Opinion Working Group”), headed by the chairman of the company, and composed of some of the company’s senior managers and heads of relevant functional departments.

Article 7 The Public Opinion Working Group is the leading organization for the company to deal with various types of public opinions. It uniformly leads the company to deal with various types of public opinions, makes decisions and arrangements on related work, and studies and decides on the company's external release of information as needed. Its main work responsibilities include:

(1) Monitoring public opinion and deciding to start and terminate various types of public opinion processing work;

(2) Assess the possible impact and scope of various public opinion information on the company, and review and approve the treatment plans for various types of public opinion information;

(3) Coordinate and organize external publicity and reporting work and media docking work in the process of handling various public opinions;

(4) Responsible for reporting information to the affiliated securities regulatory agencies and communicating information with the Shenzhen Stock Exchange;

(5) Other matters in the process of handling various public opinions.

Article 8 The office of the company's board of directors serves as the leading department for public opinion management, and the company's legal affairs department serves as the daily assisting department. The main work of the office of the board of directors in terms of public opinion includes but is not limited to the timely collection, analysis, and verification of public opinions and social sentiments that have a significant impact on the company; research, judgment and assessment of public opinion risks; timely reporting of various public opinion research, judgment and handling situations to the public opinion working group; and making corresponding responses and disposals according to the requirements of the public opinion working group.

Article 9 The company and other functional departments of its subsidiaries should promptly collect public opinion situations discovered during daily operations, compliance reviews, audits, etc., and at the same time make corresponding responses and handle them according to the requirements of the company's public opinion working group.

Article 10 Relevant personnel of the functional departments of the company and its subsidiaries must report public opinion information in a timely, objective and truthful manner, and shall not report late, lie, conceal or omit the report.

Chapter 3 Principles and Measures for Handling Public Opinion Information

Article 11 Principles for handling various types of public opinion information:

(1) Respond positively. Companies should maintain sensitivity to public opinion information, conduct timely research, objective assessment, unified deployment, and efficiently formulate response plans.

(2) Communicate sincerely. In the process of handling public opinion, the company should coordinate and organize external publicity work, strictly ensure consistency, and at the same time maintain sincere communication with the media, investors, etc. from beginning to end. Without violating information disclosure regulations, sincerely answer questions from all parties to avoid unnecessary speculation and rumors when information is not transparent.

(3) Be objective, fair and seek truth from facts. In the process of handling public opinion, the company should verify relevant information in a timely manner, maintain an objective and neutral attitude, not be emotional, deal with it in a low-key manner, avoid confrontation for the time being, actively cooperate with relevant work, reduce errors and losses caused by subjective factors, and gain the public's trust in the company with a fair attitude.

(4) System operation, organization and guidance. In the process of responding to public opinion, companies should have a sense of systematic operation, strive to turn crises into business opportunities, reduce adverse effects, and create a good social image.

Article 12 Public Opinion Early Warning and Response

All departments should establish public opinion risk prevention and control awareness in their daily work. For events that are about to occur and will attract public attention (including but not limited to announcements, research and development progress, personnel changes, market activities, product quality and other special events), after evaluation by the public opinion working group, relevant personnel will be notified to prepare for public opinion response.

(2) Non-negative response to public opinion

When there is positive or neutral public opinion, the relevant departments will make a comprehensive judgment based on the actual situation, strive to enhance the visibility and reputation of the company's brand, and create a good public opinion atmosphere.

(3) Responding to negative public opinion

When negative public opinion occurs, relevant departments will initiate corresponding disposal processes according to different levels. If it is a major public opinion, it should be reported to the public opinion working group in a timely manner and, if necessary, reported to the regulatory authorities.

Article 13 Handling of major public opinions: When major public opinions occur, the leader of the public opinion working group shall convene a meeting of the public opinion working group as appropriate to make decisions and arrangements for responding to major public opinions. Relevant departments simultaneously carry out real-time monitoring and pay close attention to changes in public opinion. The public opinion working group takes various measures to control the scope of communication according to the situation. The specific work is as follows:

(1) Quickly investigate and understand the true situation of the incident, and grasp the scope of public opinion dissemination.

(2) Communicate the situation with the public opinion dissemination platform in a timely manner to prevent the situation from further escalating.

(3) Strengthen communication with investors and the media, and do a good job in consulting, visiting and investigating investors and the media. Ensure the smooth flow of various communication channels such as investor hotlines and interactive platforms, speak out in a timely manner and answer relevant questions conscientiously while complying with relevant regulations, and avoid rumors and speculation.

(4) If public opinion information may or has had a significant impact on the trading price of the company's stocks and its derivatives, the company should report to the regulatory agency in a timely manner, conduct information disclosure in accordance with relevant regulations, and report the self-examination of public opinion to the regulatory department in a timely manner when necessary.

(5) For fabricating or disseminating false or misleading information about the company, the company should require the corresponding communication platform to immediately delete and eliminate the impact, while preserving the evidence, and taking corresponding measures when necessary to safeguard the legitimate rights and interests of the company and investors.

(6) After public opinion is initially controlled, the company should continue to monitor relevant public opinion dynamics so that it can respond to possible new situations in a timely manner.

Chapter 4 Accountability

Article 14 Relevant departments within the company and relevant insiders have the obligation to keep confidential the company's undisclosed major information. Before the relevant information is disclosed in accordance with the law, they may not disclose or leak it privately to the outside world, and they may not use such information to conduct insider trading. If any violation of confidentiality obligations occurs and causes losses to the company, the company has the right to deal with it. If it constitutes a crime, the company will be held legally responsible.

Article 15 Company information insiders or hired consultants and intermediary agency staff shall abide by confidentiality obligations and shall not disclose company information without authorization. If this causes the company to be questioned by the media, damages the company's business reputation, causes changes in the price of the company's stocks and its derivatives, and causes losses to the company, the company may reserve the right to pursue legal liability based on specific circumstances.

Article 16 If relevant media fabricate or disseminate false or misleading information about the company, causing a negative impact on the company's public image or causing the company to suffer losses, the company will reserve the right to pursue legal liability based on the specific circumstances.

Chapter 5 Supplementary Provisions

Article 17 Matters not covered by this system shall be implemented in accordance with relevant laws, administrative regulations, normative documents and the Articles of Association. If this system is inconsistent with the then-effective laws, regulations, normative documents, and the "Articles of Association," etc., the provisions of the then-effective laws, regulations, normative documents, and the "Articles of Association" shall prevail, and this system shall be revised in a timely manner and submitted to the Board of Directors for review and approval.

Article 18 This system will come into effect after being reviewed and approved by the company's board of directors, and the company's board of directors will be responsible for interpretation and revision.
