Recently, Beijing Yakang Intelligence Technology Co., Ltd. (hereinafter referred to as "Yakang Intelligence"), a subsidiary of Beijing Yakang Wanwei Information Technology Co., Ltd. (hereinafter referred to as the "Company"), signed a "Computing Power Lease Agreement" with supplier Company B. The specific situation is announced as follows:
1. Overview of contract signing
Yakang Intelligent Computing signed a "Computing Power Leasing Agreement" with supplier B Company. According to the contract, Yakang Intelligent Computing will lease computing power resources from it, and the contract tax-included amount is RMB 922 million.
According to the "Shenzhen Stock Exchange GEM Stock Listing Rules", "Shenzhen Stock Exchange Listed Companies Self-Regulatory Guidelines No. 2 - Standardized Operations of GEM Listed Companies" and the "Articles of Association" and other relevant regulations, the above-mentioned procurement contract belongs to the company's daily operating contract, and the signing of this contract does not need to be submitted to the company's board of directors and shareholders' meeting for review. The above matters do not constitute related transactions, nor do they constitute a major asset reorganization as stipulated in the "Administrative Measures for Major Asset Reorganization of Listed Companies".

2. Introduction to counterparties
Company B is registered in Hunan, is not a defaulter, and has good credit standing and ability to perform contracts. There is no related relationship or interest arrangement with the company. There is no related relationship or interest arrangement with the company's controlling shareholders, actual controllers, shareholders holding more than 5% of the shares, directors, and senior managers. It does not hold the company's shares directly or indirectly.

3. Main contents of the contract
(1) Main contents of the "Computing Power Lease Agreement"
Party A: Beijing Yakang Intelligent Computing Technology Co., Ltd.
Party B: Supplier Company B
- Lease subject matter and term:
(1) Party B agrees to lease computing resources to Party A.
(2) The lease term of this agreement is 60 months.
(3) During the lease period, the net rent and billing standards excluding VAT will be fixed closed prices and will not be adjusted due to any factors such as market fluctuations, policy adjustments, exchange rate changes or changes in Party B's operating costs.
- Rent and payment methods:
(1) Total rent: During the lease term, the total rent including tax is 922 million yuan.
(2) According to the contract, Party A will pay a certain proportion of the advance payment after the contract is signed. If Party B successfully delivers the goods within the time specified in the contract, the advance payment can be automatically converted into a deposit for this contract.
- Rights and obligations of both parties:
(1) Party B is obliged to deliver computing power services within the agreed time.
(2) If Party B is unable to deliver equipment/services or provide after-sales services in a timely manner, causing losses to Party A, Party B shall compensate Party A for the corresponding economic losses.
(3) Party B shall deliver equipment to Party A and debug and operate it in accordance with this agreement. Party B shall be responsible for subsequent operation and maintenance of the computer room and equipment maintenance.
(4) Party A is obliged to pay service fees to Party B on time as stipulated in this agreement.
(5) Party A guarantees that the copyright of the information content running on Party B's service equipment, the ownership or use rights of the software, the ownership of the hardware and other related resources are all legal, otherwise Party A will be responsible for all consequences.
- Liability for breach of contract:
(1) If either party fails to perform or does not fully perform the terms of this agreement, it shall constitute a breach of contract. The defaulting party shall bear the corresponding liability for breach of contract to the non-defaulting party for its breach of contract in accordance with the provisions of relevant laws and regulations and the provisions of this Agreement. The lease term of this agreement adopts the "60-month lock-in model" to determine the cooperation period. The lease (lock-in period) period is 60 months from the lease start date. During the lock-in period, if either party breaches the contract and terminates the cooperation without reason, it must compensate 100% of the unpaid amount due during the agreed lock-in period.
(2) Termination of part of the services under this Agreement: If either party requests to advance part of the services under this Agreement due to unilateral reasons without any statutory or agreed reasons for termination, it must notify the other party in writing 30 days in advance. If part of the services is terminated due to Party A's reasons, Party A shall still continue to pay the rent for the terminated part and all subsequent payments under this Agreement; if part of the services is terminated due to Party B's reasons, Party B shall not only waive the rent for the terminated part, but also pay the total rent for the remaining lease period of the terminated part. 100% payment of liquidated damages to Party A.
