Guhan Pharmaceutical Group Co., Ltd. (hereinafter referred to as the "Company") held an extraordinary meeting of the 10th Board of Directors on May 25, 2026, and reviewed and approved the "Proposal on the General Election of the Company's Board of Directors". The Board of Directors agreed to nominate Ms. Guo Dongfang as an independent director candidate for the 11th Board of Directors of the company. The company held the 2025 annual shareholders' meeting on June 17, 2026, reviewed and approved the "Proposal for the Election of Independent Directors of the Eleventh Board of Directors", and elected Ms. Guo Dongfang as an independent director of the company's eleventh board of directors, with a term starting from the date of review and approval by the 2025 annual shareholders' meeting until the expiration of the term of the eleventh board of directors.
As of the date of issuance of the notice of the 2025 annual shareholders' meeting, Ms. Guo Dongfang has not obtained the independent director training certificate recognized by the Shenzhen Stock Exchange. According to the relevant regulations of the Shenzhen Stock Exchange, Ms. Guo Dongfang has made a written commitment to participate in the pre-appointment training for independent directors organized by the Shenzhen Stock Exchange within the specified period and obtain an independent director training certificate.
Recently, the company received a notice from independent director Ms. Guo Dongfang that she had participated in the pre-appointment training (online) for independent directors of listed companies organized by the Shenzhen Stock Exchange in accordance with relevant regulations and obtained the "Training Certificate for Independent Directors of Listed Companies".
