Announcement of Changes in Continuous Supervision and Sponsoring Brokerages

1. Description of changes to the continuous supervision of sponsoring securities firms

Change date: September 24, 2026;

Original sponsoring securities firm: Changjiang Underwriting and Sponsor;

The sponsoring securities firm after the change: Zhongshan Securities;

Starting from September 24, 2026, Guizhou Huoyanshan Electric Co., Ltd. (hereinafter referred to as the "Company") has continued to supervise the change of the sponsoring securities company from Changjiang Securities Underwriting and Sponsoring Co., Ltd. (hereinafter referred to as "Changjiang Underwriting and Sponsoring") to Zhongshan Securities Co., Ltd. (hereinafter referred to as "Zhongshan Securities").

Since Changjiang Underwriting and Sponsoring served as the company's sponsoring securities firm, it has followed the principle of diligence and responsibility, conducted due diligence guidance and prudent verification of the company's standardized governance, information disclosure, etc., and fulfilled its continuous supervision obligations in accordance with relevant regulations and contracts.

The company expresses its sincere gratitude to Changjiang Underwriting and Sponsor for its support during its continuous supervision of the sponsoring brokerage. In view of the company's strategic development needs, and after full communication and friendly negotiation with Changjiang Underwriting and Sponsor, both parties decided to terminate the continuous supervision agreement and reached an agreement on termination-related matters. The company has signed a lifting of continuing supervision agreement with Changjiang Underwriting and Sponsor, and signed a continuing supervision agreement with Zhongshan Securities.

2. Changes in the review status of continuous supervision of sponsoring securities firms

The company has held the 16th meeting of the third board of directors on August 26, 2026, and reviewed and approved the "Proposal on the Termination of the Continuous Supervision Agreement between the Company and Changjiang Securities Underwriting and Sponsor Co., Ltd."

"Proposal on the Signing of a Continuous Supervision Agreement between the Company and Zhongshan Securities Co., Ltd." and "Proposal on Requesting the Shareholders' Meeting to Authorize the Company's Board of Directors to Handle Changes in Matters Related to the Continuous Supervision of Securities Dealers. The above proposals have been reviewed and approved by the company's second extraordinary shareholders' meeting in 2026.

3. Changes in the signing of agreements for continuous supervision of sponsoring securities firms

In accordance with the relevant regulations and requirements of the China Securities Regulatory Commission and the National Equities Exchange and Quotations Co., Ltd., the company signed the "Guizhou Huoyanshan Electric Co., Ltd. and Changjiang Securities Underwriting and Sponsor Co., Ltd. Termination of Continuous Supervision Agreement" with effective conditions on September 15, 2026, and Yangtze River Underwriting and Sponsor Co., Ltd., and on September 14, 2026 On the same day, a "Continuing Supervision Agreement" with effective conditions was signed with Zhongshan Securities. The above agreements will officially take effect from the date of obtaining a no-objection letter from the National Equities Exchange and Quotations Co., Ltd.

On September 24, 2026, the company received the "Letter of No Objection to the Termination of the Continuous Supervision Agreement by Consensus between the Sponsoring Brokerage and the Listed Company" issued by the National Equities Exchange and Quotations Co., Ltd., and Zhongshan Securities took over as the sponsoring brokerage and performed the continuing supervision obligations.

The company's continued supervision of the sponsoring securities dealers' behavior during this change will not have an adverse impact on the company's production and operation activities.
